This Refund Policy applies to purchases of subscriptions and services provided by Hexanest LTD., operating as HexaNest ("HexaNest," "we," "us," or "our").

By purchasing or subscribing to a HexaNest plan, you agree to this Refund Policy together with our Terms of Service and any pricing, billing, trial, or subscription terms presented to you at the time of purchase.

All refund and cancellation rights described in this Policy are subject to any rights or remedies that cannot lawfully be excluded under applicable consumer-protection legislation.

Monthly Subscriptions

Monthly subscriptions are recurring subscription plans billed on a monthly basis.

Cancellation

Monthly subscriptions may be cancelled at any time.
Cancellation prevents the subscription from renewing for the next billing period.
Unless otherwise required by applicable law, cancellation does not retroactively cancel a billing period that has already begun.
You will generally retain access to the applicable paid features until the end of the current paid billing period.
After the current paid billing period ends, paid access will terminate unless another subscription is purchased.

Monthly Subscription Refunds

Except where required by applicable law:

Monthly subscription payments are non-refundable once the applicable billing period has begun.
No refunds or credits are provided for partial months.
No refunds or credits are provided for unused subscription time.
No prorated refund is provided because a user chooses not to use the Service.
No refund is provided because a user forgets to cancel before a scheduled renewal.
A renewal that has already been properly processed before cancellation remains payable and non-refundable.
Deleting an account does not automatically create a right to a refund.
Failure to use the Service does not constitute cancellation.

To avoid another renewal charge, you must cancel your subscription before the next renewal is processed.

Accidental, Duplicate, or Incorrect Charges

If you believe that you were:

Charged more than once for the same subscription period;
Charged an incorrect amount;
Charged after a properly completed cancellation;
Charged because of a technical billing error attributable to HexaNest; or
Otherwise billed incorrectly,

you should contact us promptly at support@hexanest.ca.

We will review the transaction and, if we determine that an incorrect or unauthorized charge was made by Hexanest LTD. or its payment processor, we will correct or refund the applicable amount as appropriate.

Submitting a refund request does not guarantee approval.

Annual Subscriptions

HexaNest may offer annual subscriptions either:

As an annual commitment paid through monthly instalments; or
As an annual subscription paid in advance.

The applicable billing structure will be disclosed when you subscribe.

Annual Plans Billed Monthly

Where an annual subscription is billed monthly as part of a yearly plan:

You may cancel the subscription at any time.
If the current monthly billing period has already begun, that month's charge is non-refundable except where required by law.
Cancellation will stop future monthly subscription charges unless the terms presented at purchase expressly provide otherwise and such terms are enforceable under applicable law.
You will retain access until the end of the current paid monthly billing period.
No refund is normally payable for future months that have not yet been charged.
Partial months are not refundable.
Access will end at the conclusion of the final paid billing period.

If HexaNest has already collected payment for future full months that will not be provided following cancellation, those unused prepaid full months will be refunded where required by this Policy or applicable law.

Annual Plans Paid in Advance

Where an annual subscription is paid in full in advance:

You may request cancellation at any time.
The current monthly-equivalent billing period will be considered used once it has begun.
The current partial month is not refundable except where required by law.
After cancellation, access will remain available until the end of the current paid monthly-equivalent period unless otherwise specified.
Subject to the limitations in this Policy, a refund will be issued for remaining unused full months of the prepaid annual subscription.
Refunds will be calculated based on the number of complete unused months remaining after the current billing period.
Partial months are not refunded.
Any promotional discount or annual pricing adjustment may be taken into account when calculating the refundable prepaid balance so that the refund does not exceed the amount actually paid for the unused portion of the subscription.
Access will terminate at the end of the final paid period covered by the cancellation calculation.

Refund Calculation

Where a prorated annual-plan refund applies, the refundable amount will be calculated using the actual amount paid for the applicable subscription, not an advertised undiscounted monthly price, unless otherwise required by law.

Refunds will not exceed the amount originally paid for the applicable unused subscription period.

Renewals

If an annual subscription automatically renews:

The renewal terms and applicable price will be disclosed in accordance with applicable law.
You are responsible for cancelling before the applicable renewal is processed if you do not want the subscription to renew.
Once a renewal period has begun, refund eligibility will be determined under this Policy and applicable law.

Nothing in this section limits a cancellation or refund right that applicable law requires Hexanest LTD. to provide.

Company Plans

Company, enterprise, builder, contractor, professional, or other custom plans may be governed by a separately negotiated service agreement, order form, statement of work, quotation, enterprise agreement, or other written contract.

Where a separate written agreement applies:

The payment, cancellation, commitment, renewal, termination, and refund provisions contained in that agreement will control to the extent they conflict with this Refund Policy.
Custom fees, implementation fees, onboarding fees, development fees, integration fees, professional-service fees, or other negotiated charges may be non-refundable where stated in the applicable agreement.
Minimum commitments and early-termination obligations may apply where expressly agreed.
Usage-based charges already incurred remain payable.
Outstanding invoices remain payable after cancellation or termination unless the applicable agreement states otherwise.

Non-Refundable Items

Except where a refund is required by applicable law or expressly provided elsewhere in this Policy, the following are non-refundable:

Monthly subscription payments for billing periods that have already begun
Used portions of annual subscriptions
Partial months of service
Unused time within a current non-refundable billing period
Free trials
Promotional access provided without charge
Promotional credits
Referral credits
Complimentary subscriptions
Discounts
Coupons
Credits that have no cash value
Taxes that Hexanest LTD. is legally unable to refund
Third-party fees that are expressly disclosed as non-refundable and cannot reasonably be recovered
Custom development work
Custom integrations
Professional services already performed
Implementation or onboarding services already performed
Usage-based charges already incurred
Accounts suspended or terminated for material violations of the Terms of Service, fraud, abuse, unlawful activity, security violations, payment fraud, chargeback abuse, or misuse of the Service, except where applicable law requires otherwise

Free Trials

Where HexaNest offers a free trial:

The duration of the trial and any applicable conversion terms will be disclosed when you register.
If the trial automatically converts to a paid subscription, the price and billing terms will be disclosed as required by applicable law.
You must cancel before the applicable paid subscription charge is processed if you do not wish to continue, unless applicable law gives you an additional cancellation right.
A free trial itself has no cash value and is not refundable.
Hexanest LTD. may limit trial eligibility to prevent repeated or abusive trial registrations.

Promotional Pricing

Subscriptions purchased through promotional pricing, discounts, coupon codes, special offers, or introductory rates remain subject to this Refund Policy unless the promotion expressly provides different refund terms.

A refund will never exceed the amount actually paid.

Service Interruptions

Temporary interruption, maintenance, downtime, latency, feature unavailability, technical problems, third-party service disruption, or isolated errors do not automatically create a right to a refund or account credit.

Where Hexanest LTD. determines that a substantial Service failure directly attributable to Hexanest LTD. materially prevented access to a paid Service for an unreasonable period, we may, at our discretion and subject to applicable law, provide:

A service credit;
An extension of subscription access; or
A refund for the materially affected period.

Nothing in this provision limits remedies that must be provided under applicable law.

Changes to Features

HexaNest is an evolving technology platform.

Unless otherwise prohibited by law or a separate written agreement, the addition, modification, replacement, improvement, limitation, or removal of individual features does not by itself entitle a user to a refund, provided the Service remains materially consistent with the subscription purchased.

This does not permit Hexanest LTD. to materially misrepresent the Service or avoid any remedy required by applicable law.

Change of Mind

Except where expressly provided in this Policy or required by law, refunds are not issued solely because:

You changed your mind;
You no longer need the Service;
You did not use the Service;
You used the Service less than expected;
You purchased the wrong plan;
You failed to cancel before renewal;
You did not achieve a particular business, financial, construction, design, or other result; or
Your hardware, internet connection, browser, software, or third-party system does not meet applicable technical requirements that were reasonably disclosed.

Refund Abuse

Hexanest LTD. reserves the right to deny refund requests where permitted by law if we reasonably determine that the request involves:

Fraud;
Misrepresentation;
Repeated refund abuse;
Abuse of promotions or trials;
Unauthorized payment activity caused by the user's own misconduct;
Attempts to obtain substantial use of the Service without payment; or
Other conduct violating the Terms of Service.

Chargebacks and Payment Disputes

If you believe a charge is incorrect, you should contact support@hexanest.ca so that we can investigate it.

Nothing in this Policy prevents you from exercising a lawful right to dispute an unauthorized or improper payment through your financial institution.

However, initiating a knowingly false, fraudulent, or abusive chargeback may constitute a violation of the Terms of Service.

Hexanest LTD. may suspend an account while a chargeback or payment dispute is being investigated where reasonably necessary.

A successful chargeback may result in reversal of the corresponding subscription access.

Statutory Rights

Nothing in this Refund Policy excludes, restricts, waives, or replaces a cancellation, refund, reimbursement, chargeback, rescission, or other consumer right that cannot legally be excluded or waived.

If applicable consumer-protection law gives you a greater right than this Refund Policy, the applicable law will govern to the extent of the conflict.

When contacting us about a billing matter, please provide sufficient information to identify the applicable account and transaction, such as:

Your account email address
The approximate transaction date
The subscription plan
The amount charged
A description of the issue

Do not email complete credit-card numbers, card security codes, passwords, or banking credentials.

We may request additional information where reasonably necessary to verify the account holder or transaction.

Approved refunds will generally be returned through the original payment method where reasonably possible.

The time required for an approved refund to appear may depend on the payment processor, card issuer, bank, payment method, or financial institution and may be outside Hexanest LTD.'s control.

Any currency conversion differences, foreign-exchange fluctuations, bank fees, or payment-provider fees imposed independently by a third party are outside Hexanest LTD.'s control except where applicable law requires otherwise.

Hexanest LTD. may update this Refund Policy from time to time. Material changes will be handled in accordance with applicable law and will not retroactively eliminate refund rights that have already accrued.
